The Consultant shall treat all information relating to the Client’s businesses as confidential, and shall exercise the highest degree of care in the protection of the confidentiality of such knowledge or information. However, the Consultant shall not be required to keep confidential any information which is or becomes available to public sources, is already in the possession of the Consultant at the time of receiving such information (unless otherwise required to be kept confidential), or is independently developed by the Consultant outside of the scope of its relationship with the Client. The Consultant shall be responsible for ensuring that all employees, consultants, advisors, officers, directors and agents of the Consultant adhere to this Section. Consultant has the right to stop services in the event of non-payment.
